As a Manager (Corporate Matters), you will deliver full corporate secretarial services to ensure strong governance and compliance across a portfolio of group companies. You will work closely with senior stakeholders, support board and regulatory processes, guide junior team members, and contribute to continuous improvement of corporate secretarial operations in a regulated environment.
What You’ll Do and How You’ll Succeed
Corporate Secretarial and Governance
- Deliver full company secretarial services in compliance with the Singapore Companies Act, SGX Listing Manual, and Code of Corporate Governance.
- Draft, review, and file board and shareholder resolutions, minutes, and statutory documents in accordance with ACRA requirements.
- Attend board and board committee meetings of listed entities and prepare accurate meeting minutes.
- Coordinate and prepare documentation for board meetings, shareholder meetings, and regulatory filings to support timely decision making.
Regulatory and Corporate Support
- Support the General Manager in managing statutory and regulatory compliance across group companies.
- Assist in improving internal processes, written standard operating procedures, and departmental workflows to enhance efficiency.
- Support the corporate team on corporate actions, events, and know your customer compliance matters.
- Manage multiple tasks and priorities effectively to meet deadlines and support smooth operations.
Team Leadership and Professional Standards
- Supervise, mentor, and guide junior corporate secretarial staff to ensure consistency and quality of work.
- Maintain strict confidentiality and uphold high standards of professionalism when handling sensitive corporate information.
We’d Love to Hear From You If…
Experience
- You have four to five years of relevant experience in corporate secretarial work, preferably within a corporate service provider, professional services firm, or SGX mainboard listed company.
- You have hands on experience supporting board and committee matters for listed entities.
Technical Expertise
- Degree in business administration, law, accountancy, or a related field.
- ICSA qualified Chartered Secretary.
- Strong knowledge of the Singapore Companies Act, SGX Listing Manual, Code of Corporate Governance, MAS KYC requirements, and related guidelines.
- Good understanding of ACRA electronic filing processes, SGXNet announcements, and RegCo submissions.
